SEMESTER 1 2023/24
Question 1:
John Johnson owns a lucrative business, Heisenberg Luxuries, which specialises in herbal
remedies and e-cigarettes. John is currently a sole trader based in London, but sees the opportunity
to expand the business, due to the increasing popularity of his goods. John is keen to take on his
bright young apprentice, Martin Conzalise and Martin’s friend Laura, who graduated top of class in
Chemistry, to join him in the venture. The proposed expansion includes moving the business to
bigger premises, where they will be able to demonstrate the capabilities of the expanding range of
accessories. John is independently wealthy and happy to provide the necessary financial backing for
the new venture.
If John & Co. were looking to set up the business as a private limited company, what actions would
they need to consider and execute in order to become incorporated
Question 2:
John, Martin and Laura have decided to proceed with their business venture by setting up a
private limited company. John is to be the dominant shareholder in the new company, with 88% of
the shares. The remaining 12% of the shares are to be distributed equally between Martin and Laura.
Given the shareholding of the three members, what do they need to be aware of regarding the
constitution of the company and any future changes to it
Question 3:
John died suddenly whilst conducting an experiment. Martin subsequently discovered that
he was joint heir to John’s share of the business, with John’s colleague, Hank, being the other
beneficiary. This means that Martin now holds 50% of the shares, Hank 44% and Laura 6%. The
business remains strong and very profitable.
Hank was initially reluctant to be involved in the running of the company, but finds he enjoys being
a substantial shareholder, such as having a nice company car and recognition of his position. Hank
does not get involved with the day-to-day workings of the company. In fact, on the rare occasions
that he does turn up to attend company meetings, he usually follows the advice of his friend David
Maguire, who has no apparent interest in the company.

SEMESTER 1 2023/24
Question 4:
The company is due a routine annual audit of its accounts and Hank, who has ulterior motives,
has offered to assist. Unbeknown to his fellow directors, Hank has been supplying the Dunder Mifflin
Corporation with large amounts of merchandise, for which the company has not yet been paid. In
addition, Hank has helped himself to substantial amount of money from the petty cash tin that he is
not able to repay. The Auditor is familiar with the company, having been the auditor for several
years.
Two months earlier, before Martin went on assignment, the Auditor had done an interim stocktake.
As she was in a hurry on the day of the audit, she just checked the first two store rooms (which Hank
showed her), and satisfied that stock figures tallied with the company’s records, did not look any
further; i.e., do a full stock check.
In order to cover up the missing funds, Hank had created a few false purchase orders that appeared
to come from existing clients of the company. The Auditor was very concerned, as they looked like
photocopies, but when she approached Hank, he was aggressive and evasive, telling her to mind her
own business or lose the contract.
The Auditor left and later produced a set of unqualified audited accounts.
With regards to Companies Act 2006 (specifically Part 16: Audit), what are the issues concerning
the Auditor’s and Hank’s behaviour
